1. Acceptance of Terms

By accessing intellidata.us.com or engaging IntelliData USA LLC for any services you agree to be bound by these Terms of Service. If you do not agree with any part of these terms you may not use our website or engage our services. These terms apply to all visitors, prospective clients, and active clients.

2. About IntelliData

IntelliData USA LLC is an operations and systems engineering firm headquartered in Cherry Hill, New Jersey. We design, build, and manage connected operational infrastructure for professional service firms including accounting and CPA firms, law firms, medical and dental practices, wealth management firms, and other professional services organizations. Our services include workflow automation, API and software integration, AI implementation, systems engineering, data migration, overseas administrative assistance, and the IntelliHub firm portal platform.

3. Services

The specific scope, deliverables, timeline, and pricing of any engagement are defined in a separate service agreement or statement of work executed between IntelliData and the client. These Terms of Service govern the overall relationship and apply in addition to any service agreement. IntelliData reserves the right to decline any engagement or discontinue services that conflict with our values or capacity. We only take on clients we believe we can genuinely help.

4. Month-to-Month Engagement

IntelliData operates on a month-to-month basis with no long-term contracts unless otherwise specified in a written service agreement. Either party may terminate an engagement with 30 days written notice. We believe our clients stay because the work is good — not because they are contractually obligated to.

5. Client Responsibilities

Clients are responsible for providing accurate and complete information about their operations, software stack, and team structure. Clients are responsible for maintaining their own data backups before any integration, migration, or automation work begins. Clients agree to provide timely feedback and access to systems necessary for IntelliData to deliver the agreed work. Delays caused by client unresponsiveness may affect project timelines and are not the responsibility of IntelliData.

6. Payment

Payment terms are defined in individual service agreements. Invoices are due upon receipt unless otherwise agreed in writing. Late payments may result in paused or suspended services. Clients remain responsible for payment of work already completed regardless of termination status.

7. Intellectual Property and Ownership

Systems, automations, integrations, and infrastructure built by IntelliData specifically for a client become the client's property upon receipt of full payment for that work. This is a core principle of how we operate — we do not retain ownership of what we build for you. IntelliData retains ownership of its proprietary methodologies, frameworks, internal tools, templates, and general approaches used across client engagements. Neither party may use the other's trademarked names, logos, or proprietary materials without prior written consent.

8. Confidentiality

IntelliData treats all client business information as strictly confidential. We do not disclose client information, data, software credentials, or business details to any third party except as strictly necessary to deliver the agreed services or as required by law. Clients agree to treat IntelliData's proprietary processes, internal systems, and pricing structures as confidential and not to disclose them to third parties.

9. No Lock-In

IntelliData does not lock clients into proprietary systems they cannot access or own. Everything we build is documented, handed off, and fully accessible to the client. Upon termination of an engagement all client-owned systems, credentials, and documentation are returned or transferred to the client promptly.

10. Limitation of Liability

IntelliData's liability in any matter arising from or related to our services is limited to the total amount paid by the client in the 30 days immediately preceding the claim. IntelliData is not liable for indirect, incidental, special, or consequential damages of any kind. IntelliData is not responsible for outages, API changes, pricing changes, or feature deprecations made by third-party software vendors that affect integrated systems — these are outside our control.

11. Indemnification

You agree to indemnify, defend, and hold harmless IntelliData USA LLC and its principals, employees, and contractors from any claims, damages, losses, or expenses — including reasonable legal fees — arising from your use of our services, your violation of these terms, or your violation of any third party's rights.

12. Third-Party Platforms

Our services frequently involve integration with and configuration of third-party software platforms. IntelliData is not affiliated with, endorsed by, or responsible for any third-party platform, its availability, pricing, terms, or decisions. Changes made by third-party vendors after an engagement are not IntelliData's responsibility unless covered by an active maintenance agreement.

13. Governing Law

These Terms of Service are governed by the laws of the State of New Jersey without regard to conflict of law principles. Any disputes arising from these terms or our services shall be resolved in the appropriate courts of Camden County, New Jersey.

14. Changes to These Terms

We may update these Terms of Service from time to time. The date at the top of this page reflects the last update. Continued use of our site or services after changes are posted constitutes acceptance of the updated terms. If you are an active client we will notify you of material changes by email.
